These are the terms and conditions that apply to our online programs, online products, live events, retreats and online portal offered by The Healing Centre of Australia ABN 32 546 306 910. These terms and conditions are to be read together with our services agreement and any other formal written agreements between us. These documents together form our entire agreement.
These terms and conditions will become binding once you agree to proceed with a program, use a program or make any payment for a program.
1.1 Our programs, products, and courses are designed for personal wellbeing and self-development purposes only. They are not intended as medical, therapeutic, psychological, or financial advice. You acknowledge that any decisions or actions taken as a result of our programs, products, or courses are your sole responsibility. If you are currently under the care of a health practitioner or therapist, we recommend that you consult them before participating in any of our offerings.
1.2 You may access your purchased digital course or product content through our secure platform. Access is granted to the individual purchaser only, and is non-transferable and for personal use. Sharing login details or allowing others to access the content under your account is strictly prohibited and may result in immediate termination of access without refund.
1.3 Course and product access is available for the duration stated at the time of purchase. It is your responsibility to download or engage with the materials within this time. We are not obligated to extend access after the stated period, even if you did not utilise the material. Requests for extensions will be reviewed case by case but are not guaranteed.
1.4 You agree not to share, distribute, reproduce, or modify any of our digital content for commercial or non-commercial use without our written permission. This includes sharing within other groups, communities, or teaching environments. All program materials, videos, workbooks, and related content remain the intellectual property of The Healing Centre of Australia.
1.5 We reserve the right to update, revise, or substitute any program, product, or course material at our discretion in order to ensure continued quality and relevance. If a program, product, or course is retired or significantly altered, we will provide reasonable notice to participants and options for access or transition where feasible.
1.6 While we strive to maintain uninterrupted access to our platform, we are not responsible for technical issues outside our control, including downtime, third-party outages, or access issues related to your internet service.
2.1 The Healing Centre of Australia will provide you access to our online portal for the entire term of your program. At the end of the term, your access will end, whether you have used the resources or not.
2.2 You will be provided with a username and password to access the online portal. You must not share your login details with others. If it comes to The Healing Centre of Australia’s attention that your login details are used across multiple IP addresses, we may terminate your online access and there will be no refund given.
2.3 The Healing Centre of Australia reserves the right to change or substitute content of my online portal at any stage with alternatives that I feel will be of equal or greater value to you, or where circumstances require.
3.1 From time to time, The Healing Centre of Australia may offer live events either as part of your program, as an added bonus or available for purchase separately.
3.2 Travel, accommodation, catering and incidentals for events are not included in the event costs unless specified in the advertising for the event.
3.3 The time and location of an event will be notified to you when it becomes available, or as advertised.
3.4 Where circumstances beyond The Healing Centre of Australia control intervene (like Covid restrictions):
a) You will not be entitled to receive a refund of your Deposit.
b) Where an event is offered as an added bonus, you will not be entitled to transfer your ticket or apply any event fee as a credit towards future event or coaching services because you will still receive the full value of your program even without the bonus.
c) At discretion of The Healing Centre of Australia, we may postpone an event. You may transfer your ticket to someone else without cost, provided you let me know who the person attending is at least 7 days before the rescheduled event date.
d) At The Healing Centre of Australia’s discretion, we may change the delivery of an event to a different format, including wholly electronic format and you will be expected to attend via the new format.
e) If an event is cancelled or if you are unable to attend an event but the event goes ahead, you may apply your event fee (excluding deposit) as a credit toward attendance at a future event or a credit towards one of our offers but the credit must be used within 12 months of the event.
3.5 Speaker Substitution
Our event details are accurate at the time of publication. However, we retain the right to alter or substitute any advertised speaker at our event at our discretion, owing to circumstances beyond our control or any other rationale. We will strive to notify attendees of any such modifications or substitutions before the event takes place.
In the event of event cancellation or speaker substitution, our liability is restricted to refunding the ticket price paid by attendees. We are not liable for any additional costs, losses, or damages incurred by attendees. Moreover, we disclaim responsibility for any indirect, incidental, or consequential damages resulting from event cancellation or speaker substitution.
3.6 Information & Guidance
Any information or advice provided during our event is of a general nature and does not constitute professional advice. We do not claim to be legal, medical or financial professionals, and therefore, we cannot be held liable for any reliance placed on the information presented during our events. Our events are not intended to substitute for obtaining personalised advice from qualified professionals tailored to your specific circumstances.
It is your responsibility to ascertain whether our events are suitable for your needs.
3.7 Consent to Record Participation (Media Release)
You acknowledge that our event may involve the recording of your participation, including photographs, audio, and video content, in which you may be prominently featured. By attending, you consent to The Healing Centre of Australia using your name, likeness, image, and/or voice without restriction and without compensation for an indefinite period. This includes our right to modify, publish, reproduce, or distribute these recordings at our discretion. Such recordings serve both the purpose of providing our events and enabling us to use them in our promotional materials to market our event and any associated services.
3.8 All ticket sales are final, and refunds or cancellations are not permitted.
3.9 Sound of Being™️ Experience
I hereby consent to participate in the 90-Minute Sound of Being Journey™️ conducted by Angela Henderson, Grant Muir or both of us. I understand that this experience involves meditation, breathwork, and the use of various sound therapy techniques, including crystal bowls and other instruments. I acknowledge and understand the following:
a) Nature of the Experience: The Sound of Being Journey™️ is a holistic wellness experience designed to promote relaxation, stress reduction, and overall well-being through the use of sound and meditation techniques.
b) Voluntary Participation: My participation in this journey is voluntary, and I have the right to withdraw at any time without consequence.
c) Physical and Emotional Reactions: I understand that the Sound of Being Journey™️ may evoke physical and emotional reactions. I am responsible for communicating any discomfort or concerns to the facilitators during the session.
d) Safety Precautions: I acknowledge that the facilitators will not place any instruments on me or touch me during the session. I understand that my mat is my safe space and that I am in control of my own experience.
e) Confidentiality: I understand that all information shared during the Sound of Being Journey™️ session is confidential and will be kept private by the facilitators.
f) Assumption of Risk: I understand that there are inherent risks associated with participation in any wellness activity, including the Sound of Being Journey™️. I voluntarily assume all risks and waive any claims against the facilitators.
g) Medical Considerations: I certify that I am physically and mentally able to participate in the Sound of Being Journey™️. I agree to inform the facilitators of any medical conditions or concerns that may affect my participation.
h) All ticket sales are final. No refunds will be provided under any circumstances.
i) Consent to Record Participation (Media Release)
You acknowledge that our event may involve the recording of your participation, including photographs, audio, and video content, in which you may be prominently featured. By attending, you consent to The Healing Centre of Australia using your name, likeness, image, and/or voice without restriction and without compensation for an indefinite period. This includes our right to modify, publish, reproduce, or distribute these recordings at our discretion. Such recordings serve both the purpose of providing our events and enabling us to use them in our promotional materials to market our event and any associated services.
By purchasing your ticket to Sound of Being™️ Experience, I acknowledge that I have read and understood the terms outlined in this consent form. I voluntarily agree to participate in the 90-Minute Sound of Being Journey™️ and release the facilitators from any liability arising from my participation.
4.1 You agree:
(a) make use of the online portal, and commit time to attend any live sessions or workshop to ensure you obtain the maximum benefit of The Healing Centre of Australia’s programs;
(b) to provide true and correct details when setting up an account to access the online portal;
(c) to keep your username and password secure and not to share your login details with anyone else;
(d) that you are solely responsible and liable for any loss or damage to me arising out of the use of your login details or online access;
(e) to immediately notifyThe Healing Centre of Australia of any unauthorised use of your password or other breach of security;
(f) not to rent, lease, sell, transfer, redistribute, or make available your access to my online portal to any third party;
(g) not to use The Healing Centre of Australia online portal in a manner that could damage, disable, overburden or impair the website or interfere with any party’s use and enjoyment of the online portal, and not to hack into areas of the online portal that are not intentionally made available to you;
(h) that you will not use The Healing Centre of Australia online portal or programs for any purpose that is unlawful or prohibited by these terms and conditions;
(i) not to use The Healing Centre of Australia online portal or programs in a manner that could bring us into disrepute;
(j) that you are responsible for your own physical, mental and emotional wellbeing when using The Healing Centre of Australia’s programs or the online portal. You understand that you can choose to discontinue using our programs at any time but that will not entitle you to a refund; and
(k) if you are currently under the care of a mental health professional, you must inform them of your decision to use my programs and check with them if in their opinion, you have the required capacity to participate fully in my programs.
5.1 You agree to pay the fees in full and on time whether or not you use or access all components of a program or all content of the online portal.
5.2 If you sign up to The Healing Centre of Australia programs via online links, you will be required to make your first payment, whether in part or in full (depending on your payment option) as part of that process. If you are paying by instalments, the instalments after the first instalment will be due the same day of each successive month until paid in full.
5.3 Payment may be made via PayPal or credit or debit card, processed by Stripe.
5.4 If you are paying by monthly installments and you are in arrears with your payments, your services and your access to the online portal may be suspended until all fees are paid up to date. This does not change the timeframe of this agreement. Your sessions and access to the online portal will still expire at the end of the term and you will be liable to pay for the full amount of the program.
5.5 If any payment is dishonoured for any reason, you will be liable for dishonour fees. If money remains unpaid, you will also be liable for any costs and disbursements that I incur in pursuing the debt (including legal costs on a solicitor and own client basis) and debt collection costs to the extent permissible under relevant legislation.
6.1 Events – Due to the costs involved in setting up and securing locations for live events and retreats:
(a) if the event format is changed, you will be expected to attend via the new format;
(b) if the event is postponed or cancelled, or if the event goes ahead but you are unable to attend for any reason, you may apply your event fee (if any) as a credit toward attendance at a future event, or for any current services with The Healing Centre of Australia, provided you use that credit within 18 months of the original event date;
(c) you may transfer your ticket to someone else without cost, provided you let me know who the person attending is at least 7 days before the event date.
6.2 When you purchase a program available through the online portal, you will have access to all of the benefits of the program at the time of purchase. Even if you elect to pay by instalment, you are agreeing to pay for the whole of the program in full and will not receive a refund if you stop accessing the online portal sooner than the end of your term of access.
7.1 The Healing Centre of Australia services to you and your access to the online portal will terminate at the end of the term.
7.2 If for any reason we decide that we will be unable to fulfil all of the services included in your program, through no fault of my own, and other than as a result of you missing a session, you agree that we may terminate this agreement upon seven (7) days written notice to you, without providing reasons. If we elect to terminate this agreement, we will refund to you that proportion of my fees relating to the balance of the term of this agreement, or proportionate to the services we have already delivered, at my discretion.
7.3 We reserve the right to cancel, suspend or change your access to the online portal at any time without notice if we believe that you have failed to comply with these terms and conditions. We will not provide a refund if your access to the online portal is terminated for non-compliance. In no event will The Healing Centre of Australia be liable for any loss or damage as a result of terminating your access to the online portal.
8.1 ‘Confidential information’ means information about the business practices and relationships of you or The Healing Centre of Australia which include this all information that is expressly or impliedly nominated as confidential, or that a reasonable person would consider to be confidential, however recorded, documented or verbal.
8.2 Where confidential information is disclosed to you during a program/product/event or retreat, it is done so for your personal or business benefit, and you agree not to disclose that confidential information to any other person or entity.
8.3 Some of the information you provide to The Healing Centre of Australia will be information that is clearly important and confidential to you or your business. The Healing Centre of Australia will only use that information to provide services to you and will not share it.
8.4 These obligations of confidence will cease to apply in relation to information that either party is required to disclose by any law, or which becomes part of the public domain other than as the result of a breach by the disclosing party of its obligations under this agreement.
9.1 All intellectual property rights in The Healing Centre of Australia programs remain The Healing Centre of Australia property. Access to the online portal does not give you any ownership rights to those program materials or any other program material.
9.2 When The Healing Centre of Australia does live events we record those events and may make replays available through the online portal, or use those recordings as part of other programs in any medium, worldwide. The Healing Centre of Australia makes no representations that those recordings will be used or not used.
9.3 When participating in a live event you may be recorded on audio, video or by way of photograph. You agree that the recording may contain your “likeness”, which includes, but is not limited to, your voice and any of your actions, image, likeness, name, appearance and biographical material. You agree that The Healing Centre of Australia will be the exclusive owner of any recording and we may use the recording for commercial purposes and may edit, publish, create derivative works from, reproduce, distribute or sell the recording or any part of it and in print, electronic, or other known or unknown format, as we see fit. You will not be paid and you release me from any expense, loss or liability arising out of the use of your likeness.
9.4 You are only allowed to use the program materials for your own personal use. You must not share, distribute or resell, in part or in full, those materials without my prior written permission. You are prohibited from using The Healing Centre of Australia materials to develop your own program or training for sale or giving away to others.
10.1 While all care is taken to store your data, the online portal is not designed as a backup system and should not be relied on as such. The Healing Centre of Australia provides no guarantee for the security of your data. The Healing Centre of Australia will not be responsible or liable for the storage, theft, deletion, correction, destruction, damage or loss of any stored data. The Healing Centre of Australia recommends you have a regular back-up system in place for your systems.
10.2 If your program is terminated, your stored data will be permanently deleted from the online portal.
11.1 The Healing Centre of Australia makes an effort to maintain the security of my programs. However, The Healing Centre of Australia does not guarantee the security of our website, online portal, systems or records of your data.
11.2 Continuous access to the online portal will be dependent on your internet connection and download speed, which is outside my control.
11.3 The Healing Centre of Australia cannot guarantee that the online portal will remain error free at all times. There may be limited times the online portal is not functioning or is malfunctioning. Please notify The Healing Centre of Australia if that occurs. The Healing Centre of Australia will not be liable for any periods that it is not functioning or is malfunctioning.
11.4 The Healing Centre of Australia disclaims all liability for any computer virus or technological problems that were not intentionally caused by The Healing Centre of Australia or are beyond our control. The Healing Centre of Australia does not warrant that our online portal is free from viruses, malware or similar damaging code. You are encouraged to install and maintain up-to-date security software on your systems.
12.1 If The Healing Centre of Australia makes any third party recommendations including but not limited to third party products, programs or services (‘third party services’), it is because to the best of The Healing Centre of Australia knowledge, they are quality products or professional service providers. You must complete your own due diligence to protect yourself.
12.2 The Healing Centre of Australia will not be liable or responsible for your use of third party services, or loss or damages you or any other person suffers due to the use of the third party services.
13.1 The Healing Centre of Australia programs aim to provide a thought-provoking and creative process that inspires you to maximise personal, professional and business potential. The Healing Centre of Australia cannot do the work for you. You agree to take responsibility for your own circumstances and acknowledge that the benefit you receive from my programs will depend on your personal circumstances and the effort you put in.
13.2 You understand that it may take some participants a greater commitment of time and effort than others to implement suggested changes or ideas, and that varied results may arise based on the individual’s starting point, flexibility to change and emotional intelligence.
13.3 While The Healing Centre of Australia will use reasonable skills and care in delivering our programs, The Healing Centre of Australia cannot guarantee that your objectives will be met or that your results will be consistent or improve. Each person comes to The Healing Centre of Australia with different circumstances, skills and attitude, all of which can impact their outcomes.
13.4 You are responsible for your own decisions, choices, actions and results when implementing my coaching into all areas of your life. You agree thatThe Healing Centre of Australia will not be liable for any action or inaction, or for any direct or indirect result of any services that The Healing Centre of Australia have provided.
13.5 While every care is taken, The Healing Centre of Australia make no representations about the suitability, reliability, availability, timeliness, completeness and accuracy of anything provided in The Healing Centre of Australia online portal for any purpose. To the maximum extent permitted by applicable law, anything contained in my online portal is provided “as is” without warranty or condition of any kind.
13.6 Information provided in The Healing Centre of Australia online portal is for educational purposes only and we take no responsibility for any use made by you of the information supplied.
13.7 You understand that The Healing Centre of Australia programs are not to be used as a substitute for professional advice by legal, mental, medical, financial, business, spiritual or other qualified professionals. You must seek independent professional guidance for such matters. You agree that all decisions and actions in these areas are exclusively your responsibility.
13.8 You understand that The Healing Centre of Australia programs do not substitute for counselling or therapy, and do not prevent, diagnose, treat, or cure any mental disorder as defined by the DSM-V or ICD 10 or medical condition.
14.1 To the extent permissible under relevant legislation, The Healing Centre of Australia will not be liable for any loss or damages including loss of profits, loss of opportunity or damages suffered by any person from following or applying any advice, coaching, ideas or content developed as part of our programs.
14.2 To the fullest extent permitted by law, and without limiting the application of the Australian Consumer Law, you agree that:
(a) The Healing Centre of Australia total aggregate liability for any claim(s) by you relating to any program The Healing Centre of Australia delivers to you is limited to the amount actually paid by you for that program;
(b) if there is any fault in a program, The Healing Centre of Australia liability will be limited (at my choice) to:
(i) the delivery of that program again; or
(ii) refunding part or all of the cost of that program.
14.3 You agree to indemnify The Healing Centre of Australia and hold The Healing Centre of Australia harmless against loss or damages suffered by you or any other person arising from your breach of these terms and conditions.
15.1 Relationship – The Healing Centre of Australia is delivering programs to you as an independent contractor and nothing in these terms and conditions should be interpreted to suggest otherwise.
15.2 Assignment – The programs are personal to you and this agreement and cannot be assigned to any other person. Event attendance may be transferred subject to the terms and conditions of that event.
15.3 No Waiver – Any time or other indulgence granted by The Healing Centre of Australia will not in any way amount to a waiver of any of my rights or remedies under this agreement.
15.4 Governing Law – This agreement is governed by the laws of Queensland, Australia, and you agree to be subject to the jurisdiction of the courts of Queensland, Australia if there was a serious dispute between The Healing Centre of Australia.
15.5 Severability – If any of these terms and conditions are determined to be invalid or unenforceable, then the invalid or unenforceable provision will be severed, and the remainder of the terms and conditions will continue in effect.
15.6 Entire agreement – These program terms and conditions, together with our services agreement and any other formal written agreements between us, form the entire agreement between us. Anything else discussed beforehand or afterward is not part of our agreement or fees charged unless it was included or has been agreed to in writing.
